Terms of use

Language

These terms may be presented in more than one language for convenience. If there is any conflict or inconsistency between language versions, the English version shall prevail.

Who we are

These Terms of Use (“Terms”) govern access to and use of websites, apps, APIs, documentation, and related materials offered by Tactico Technologies (together, the “Services”). Brand names under Tactico Technologies include TACTICO and product names described below.

Products covered

The Services currently include, without limitation, the following products (each a “Product”). Not every Product is available in every region or channel.

• TACTICO Pathways — consumer pedestrian routing and map experiences (including the web PWA and related native shells). Coverage is Hong Kong only for now. Pathways is powered by Vertral Spatial Engine technology where noted in product materials.
• Vertral Spatial Engine (VSE) — spatial graph and pathfinding used by Pathways on-device. Coverage is Hong Kong only for now. A hosted API Worker and agentic MCP tools are coming soon and not generally available. Separate from the Pathways map UI, though Pathways may use the same spatial stack.
• Ionic — a separate stack for multi-agent contract compatibility (registry, breakage detection, CLI / MCP). Ionic is not part of VSE and does not provide pedestrian routing or map basemaps.
• Momentum — continuity for long-horizon agents (versioned goals, typed memory, checkpoints, exact resume), running locally through stdio over SQLite. No hosted Momentum service is offered. Momentum does not plan, choose objectives, or execute external tools.

Marketing pages, company information, manifesto, licenses, and related content on our sites are also part of the Services.

Acceptance

By accessing or using any Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. Where a Product shows an in-app acceptance of terms (for example Pathways settings), that acceptance is recorded on your device and supplements these Terms.

Informational use — Pathways and spatial outputs

Pathways routes and any path or network output from VSE are informational suggestions based on available open spatial data and computation (often on-device or in your environment). They are not a guarantee of safety, accessibility, opening hours, construction status, lighting, weather protection, or real-world passability. You remain responsible for how you travel and for verifying conditions on the ground.

Developer and agent tooling — VSE, Ionic, and Momentum

APIs, MCP tools, CLIs, and sample code are provided for lawful integration and development. You are responsible for:

• keys, secrets, and access control in your systems;
• rate limits, quotas, and fair use of any hosted endpoints we operate;
• compliance with law and third-party terms when you process data through agents or tools;
• not representing Tactico Technologies outputs as legal, medical, or safety advice.

Ionic contract checks are decision-support for software compatibility; they do not guarantee bug-free multi-agent systems. Momentum resume is of stored goal and memory state; it does not freeze external APIs, files, or tools, and does not make those side effects exactly-once.

No warranty

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Tactico Technologies disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, accurate, or error-free.

Limitation of liability

To the fullest extent permitted by law, Tactico Technologies and its contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of the Services. Where liability cannot be excluded, it is limited to the greater of (a) amounts you paid us for the Service in the three months before the claim (if any) and (b) HKD 100.

Acceptable use

You must not:

• use the Services for unlawful purposes;
• abuse, overload, or disrupt infrastructure, or scrape in a way that harms availability for others;
• attempt to bypass security, access controls, or usage limits;
• reverse engineer except where mandatory law allows;
• misrepresent affiliation with Tactico Technologies or imply endorsement without permission;
• upload or process content through our tools that you do not have rights to process.

Open data and third-party components

Map, basemap, and pedestrian network layers may incorporate third-party open data (for example Lands Department / CSDI materials and OpenStreetMap). Attribution and license notes are on the Pathways licenses page. You must respect those terms when reusing data. Third-party hosts (CDN, map tiles, GitHub, etc.) have their own terms.

Intellectual property

We and our licensors retain rights in the Services, branding (including the TACTICO wordmark), and original software we publish, subject to open source licenses where applicable. Feedback you provide may be used to improve the Services without obligation to you.

Privacy

Processing of personal data is described in our Privacy Policy. Product-specific principles (for example on-device pathfinding for Pathways) are also summarised in the Manifesto.

Beta and PoC status

Features may be labelled beta, proof-of-concept, or experimental. Such features may change, break, or be withdrawn without notice.

Changes

We may update these Terms as Products evolve. Material changes will be reflected by updating the “Last updated” date on this page. Continued use after changes means you accept the updated Terms. Pathways in-app EULA version may also be bumped when acceptance should be re-confirmed.

Governing law

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law rules. Courts of Hong Kong have exclusive jurisdiction, subject to mandatory consumer protections where they apply.
